1. Agreement to these terms

These Terms and Conditions ("Terms") govern your access to and use of the WACC 360 Platform, websites, storefronts, portals and related services operated by BPB Global Enterprise ("we", "us", "our"). By creating an account, using any feature, or transacting through the Platform, you agree to these Terms.

If you use the Platform on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Notify us immediately of any unauthorized use.

3. The services

WACC 360 is a business commerce operating system. Depending on your configuration and plan, the Platform may include:

• •Unified business inbox and channel connections (including WhatsApp Business via authorized providers).
• •CRM, party identity resolution, customer intelligence and reporting.
• •AI agents, AI replies, scoring, briefings and workflow automation.
• •Storefronts, catalogs, chat commerce, quotes, orders and procurement workspaces.
• •WACC Verified™ B2B infrastructure: lot passports, claim verification, compliance screening and the public verification service.
• •Payments tooling, payroll and payout workflows (as made available in your region).
• •Partner, affiliate, white-label and referral programs.
• •Vertical modules such as Real Estate OS and the Perfect Lead Engine.

4. Acceptable use

• •Comply with all applicable laws, including consumer protection, data protection, anti-spam and telecommunications/messaging regulations in every market you operate in.
• •Comply with the WhatsApp Business Messaging Policy, Commerce Policy and the terms of every messaging channel and payment provider you connect.
• •Message only people who have consented or are otherwise lawfully contactable; honor opt-outs and do-not-contact requests promptly.
• •Do not use the Platform to sell illegal products or services, or to facilitate harm, fraud, harassment, or infringement of intellectual property.
• •Do not attempt to probe, scan or breach the Platform's security, circumvent usage limits or rate limits, resell access without authorization, or misrepresent your identity or affiliation.
• •Do not upload malicious code, excessive data volumes, or content you do not have the rights to process.

5. Research-use-only products (RUO)

Where WACC Verified™ B2B distribution features are used to list, quote or sell chemical, peptide or laboratory products, those products are supplied strictly for laboratory research use only. They are not drugs, foods, dietary supplements or cosmetics, and they are not for human or veterinary use of any kind.

Buyers affirm that they are purchasing for lawful research purposes, are qualified to handle research materials, and will comply with all applicable laws. Neither we nor our AI agents provide dosing, administration or medical guidance, and any request for such guidance will be declined. See our Disclosures & Disclaimers for full details.

6. AI features

AI capabilities on the Platform are provided to assist you. AI-generated text, scores, briefings, recommendations and images may be inaccurate, incomplete or unsuitable for your use case. You remain responsible for reviewing, editing and approving AI outputs before relying on or sending them, and for ensuring automated activity complies with this section.

7. Quotes, orders and approval limits

Quotes generated through the B2B quote engine are estimates valid for the stated period and do not constitute a binding offer until accepted and confirmed. Procurement approval limits, workspace roles and sign-off workflows are administrative tools; you are responsible for configuring them accurately and for the transactions approved within your organization.

8. Verification and lot passports

Lot passports, certificates of analysis, claim classifications and verification codes are informational trust tools. A passing verification check indicates the records on file at the time of lookup; it is not a warranty of quality, safety, fitness for a particular purpose, or continued accuracy, and it does not replace your own due diligence, quality assurance or regulatory obligations.

9. Fees, credits and billing

• •Some features require a subscription and/or AI credits. Prices, plans and credit costs are shown at purchase and on our pricing page.
• •Subscriptions renew automatically until cancelled and may be cancelled through your account settings before the next renewal date.
• •Credits are for the purchasing account, are not transferable, and (except where rollover is expressly stated) may expire per your plan's terms. Credits are non-refundable except as required by law.
• •Payment facilitation features rely on third-party payment providers; their terms govern payment processing, payouts and disputes.
• •We may change pricing prospectively with reasonable notice; changes do not affect amounts already paid.

10. Partner, affiliate and white-label programs

• •Program participation is subject to application, review and approval. We may reject, suspend or terminate participation at our discretion for policy violations, misrepresented identity or abnormal activity.
• •Commissions apply only to properly attributed, completed and non-refunded transactions, at the published rates. Self-referrals, cookie-stuffing, trademark bidding, spam, misleading claims and fake traffic void commissions.
• •Commission payouts are made on request or schedule to the payout method you designate. You are responsible for the accuracy of your payout details and for your own taxes.
• •White-label partners are responsible for the content of their own portals, for their marketing claims, and for compliance with these Terms and applicable law.
• •Affiliates and partners must disclose their commission relationship in any promotional content, as further described in our Disclosures & Disclaimers.

11. Your content and license

You retain ownership of content you upload or create (catalogs, messages, templates, brands, business data). You grant us a limited license to host, process and display that content as needed to provide the services, including processing it with AI features you enable.

You represent that you have the rights needed for the content you provide. We may remove content that violates these Terms or applicable law.

12. Our intellectual property

The Platform, including its software, design, "WACC 360", "WACC Verified™" and related marks, is owned by us and our licensors. These Terms grant no rights in our intellectual property beyond a limited, revocable license to use the Platform as intended. WhatsApp and Meta are trademarks of Meta Platforms, Inc.; we are not affiliated with or endorsed by them.

13. Third-party services

The Platform integrates third-party services (messaging providers, AI model providers, payment processors, automation and enrichment tools, maps and analytics). Your use of those services is also governed by their terms and privacy policies. We are not responsible for third-party services.

14. Warranties and disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, except as expressly stated. In particular, we do not warrant uninterrupted or error-free service, the accuracy of AI outputs, verification records or third-party data, or that the Platform meets your specific regulatory requirements. 15. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or relating to the Platform is limited to the greater of (a) amounts you paid us in the twelve months preceding the claim, or (b) one hundred US dollars. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

Some jurisdictions do not allow certain limitations; in that case, these limits apply to the fullest extent permitted, and nothing in these Terms affects statutory rights that cannot be waived.

16. Indemnity

You agree to indemnify and hold us harmless from claims, damages and expenses arising from your content, your use of the Platform in violation of these Terms or applicable law, your marketing or sales claims, or your program participation.

17. Suspension and termination

We may suspend or terminate accounts or specific features for material breaches, security risks, illegal activity, or non-payment, with notice where practicable. You may stop using the Platform and cancel your account at any time. Provisions that by their nature should survive (ownership, disclaimers, liability limits, program accounting) survive termination.

18. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which BPB Global Enterprise, the operating entity, is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction, except that either party may seek injunctive relief to protect intellectual property or prevent imminent harm.

19. Changes to these Terms

We may update these Terms as the Platform evolves. Material changes will be announced in the app, and the "last updated" date will reflect the revision. Continued use after changes take effect constitutes acceptance. Disputes arising under materially changed terms are governed by the version in force when the dispute arose.
